1. Agreement to Terms
By accessing and using Confide ("Service"), a product of Kingdom Digital Media, LLC ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you are not authorized to use the Service. If you are entering into these Terms on behalf of a company or organization, you assert that you have authority to bind that entity.
These Terms apply to all visitors, users, and others who access or use the Service.
Data Processing Agreement: Churches and organizations that require formal data processing documentation may request a comprehensive Data Processing Agreement (DPA) that supplements these Terms with additional data protection provisions, security measures, and compliance requirements.
2. Description of Service
Confide is a Software-as-a-Service (SaaS) church management platform (“ChMS”) that provides tools for member and media management, communication, event planning, financial tracking, reporting, and other church administration functions. The Service is specifically designed for churches and religious organizations.
The Service is offered on a subscription basis and may include both free and paid features. We reserve the right to modify, suspend, or discontinue any part of the Service at any time. Notice of feature discontinuance will be provided in accordance with Section 21 (Changes to Terms), or at least ninety (90) days in advance, whichever is greater. In the event of such changes, we will make reasonable efforts to provide a migration pathway or a comparable alternative feature where feasible.
Some features of the Service may require integration with third-party services or providers that charge additional fees (e.g., background checks, identity verification, or payment processing). These fees are not set nor collected by us, but your use of these features may result in charges from these third-party providers. By accessing or using such features, you agree to pay all applicable fees incurred. Additionally, We are not responsible for any third-party services integrated into the platform, including their availability, content, or security practices. Use of such services is at your own risk and subject to the third party’s terms.
Certain features may not be available in all regions due to legal, technical, or operational limitations. It is your responsibility to ensure that your use of the Service complies with all applicable local laws and regulations within your jurisdiction.
Service Level Agreement: We are committed to delivering a reliable and high-performance Service. Confide maintains a target uptime of 99.9% monthly availability, excluding scheduled maintenance and events beyond our reasonable control (e.g., force majeure or third-party outages). Our infrastructure is actively monitored, and our support and development teams work to address issues and maintain optimal performance.
Bug Reports and Issue Resolution: Users may report bugs, errors, or unexpected behavior through our support channels. While not all reported issues will qualify for immediate fixes, we prioritize and address bugs based on severity, impact, and alignment with our development roadmap. Critical issues affecting core functionality are typically reviewed within 24–48 hours. Minor issues may be scheduled for a future release.

3. Eligibility
The Service is intended for use by churches, religious organizations, and their authorized representatives or members authorized by the organization. By accessing or using the Service, you represent and warrant that:
- You are a church or religious organization, or a representative or member thereof acting on its behalf
- You are authorized by the organization to access and use the Service for personal activities consistent with the organization’s mission and activities
- You meet the applicable age and legal requirements as outlined below
Age Requirements: You must be at least 13 years old to use the Service. However, you must be at least 18 years old to purchase subscriptions or enter into any binding agreement with us.
Minors (Ages 13-17): If you are between 13 and 17 years old, you may use the Service under the supervision of an adult representative of a church or religious organization. Only adults (18 or older) may enter into contractual agreements or make purchases.
Organizational Use: If you are using the Service on behalf of an organization, you represent and warrant that you are authorized to act on its behalf and to bind it to these Terms.
We reserve the right to verify your identity, age, organizational affiliation, or authorization status at any time. Failure to meet or maintain eligibility requirements may result in suspension or termination of your access to the Service.
3A. Children's Privacy Protection (COPPA Compliance)
Children Under 13
Our Service is not intended for children under 13 years of age. We do not knowingly collect information directly from children under 13. If we learn we have, we will delete it. If you are a parent or guardian and you are aware that your child has provided us with personal data, please contact us immediately at hello@confidecloud.com.
If we become aware that we have collected personal data from a child under 13 without verification of parental consent, we take immediate steps to remove that information from our servers and terminate any associated accounts.
Parental Rights and Responsibilities
Parents and guardians have the right to:
- Review any personal information we have collected from their child
- Request deletion of their child's personal information
- Refuse to permit further collection or use of their child's information
- Receive notification of our information practices regarding children
Church Youth Programs
Churches using our Service for youth programs must ensure compliance with COPPA requirements when collecting information about children under 13. This includes obtaining verifiable parental consent before collecting, using, or disclosing personal information from children.
Reporting Concerns
If you believe we have inadvertently collected information from a child under 13, please contact us immediately at hello@confidecloud.com with "COPPA Concern" in the subject line. We will investigate and take appropriate action within 24 hours.
4. User Registration and Accounts
To access certain features of the Service, you must register for an account. When you create an account, you must provide information that is accurate, complete, and current at all times.
You are responsible for safeguarding the password and all activities that occur under your account. You agree to:
- Maintain the security and confidentiality of your account credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
- Ensure all information provided is accurate, complete, and up-to-date
- Not share your account credentials with any third party
We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion.
Account Security: We offer multi-factor authentication (MFA) as an additional security measure to protect your account. We strongly recommend enabling MFA for all administrator accounts.
Account Termination: Accounts may be terminated for repeated violations of these Terms or fraudulent activity. Account terminations can be appealed within (30) days by contacting our support team.
5. Prohibited Uses
You may not use our Service:
- For any unlawful purpose or to solicit others to perform unlawful acts.
- To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances.
- To infringe upon or violate our intellectual property rights or the intellectual property rights of others.
- To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate against a person or group
- To promote sexually explicit content or content inappropriate for a religious audience, such as hate speech or material promoting violence.
- To intentionally misuse sensitive member data, such as sharing contact information or donation records without consent, in a manner that violates applicable laws or harms individuals.
- To intentionally use the Service in a manner that could damage, disable, overburden, or impair the Service, such as excessive resource usage or denial-of-service attacks.
- To reverse engineer, decompile, or disassemble the software, except as permitted under U.S. copyright law or equivalent international statutes.
- To upload or transmit viruses or any other type of malicious code.
- To unlawfully harvest or track the personal information of others.
- To submit false or misleading information, such as creating fake accounts or providing inaccurate organizational details.
- To spam, phish, pharm, pretext, spider, crawl, or scrape.
- To interfere with or circumvent the security features of the Service.
- Violations of these prohibited uses may result in account suspension, termination, or legal action, as outlined in Section 13 (Termination).
We reserve the right to terminate your use of the Service for violating any of the prohibited uses.
All users must comply with applicable federal, state, and local anti-discrimination laws. Religious organizations are responsible for understanding and complying with both religious freedom protections and anti-discrimination requirements in their jurisdiction.
6. User-Generated Content
Our Service may allow you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are solely responsible for the Content you post, including its legality, reliability, and appropriateness. We do not actively monitor user-generated content but will respond to reports of violations of these Terms.
By posting Content, you grant us a limited, non-exclusive, royalty-free license to use, store, modify (solely for technical compatibility), and display such Content solely as necessary to provide the Service to you. This license includes only the technical operations required to store, backup, and display your Content within the Service interface, and to sublicense these rights to essential service providers (such as cloud storage and backup providers) who are bound by confidentiality obligations. We will not use your Content for any other purpose, including marketing, without your explicit written consent. This license terminates when you delete the specific Content or when your Service agreement ends.
You may request removal of your Content through your account settings or by contacting our support team at hello@confidecloud.com. We will process removal requests within thirty (30) days, except where retention is required for legitimate business purposes such as backup systems, legal compliance, or platform security.
This license terminates when you delete the specific Content or when your Service agreement ends, except for Content that has been shared with other users or incorporated into collaborative features, which may remain subject to this license as necessary to maintain Service functionality.
You represent and warrant that your use of the Service and any Content you provide does not infringe, violate, or misappropriate the rights of any third party.
7. Privacy Policy
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information when you use our Service. By using our Service, you agree to the collection and use of information in accordance with our Privacy Policy.
7A. Service Provider Relationship and Data Processing
As a SaaS church management platform, we provide data processing services to churches and religious organizations. Your organization maintains control and ownership of your data, while we provide the technical infrastructure and services to store, process, and manage that data according to your instructions.
Your Responsibilities: You are responsible for ensuring that your use of our Service complies with all applicable laws, including data protection regulations. This includes obtaining necessary permissions from church members and ensuring lawful processing of any sensitive information.
Our Service Obligations: We will process your data only as necessary to provide the Service, maintain appropriate security measures, and assist with your compliance obligations where technically feasible.
Data Processing Agreement: Churches requiring formal data processing documentation may request a comprehensive Data Processing Agreement (DPA) by contacting hello@confidecloud.com. The DPA supplements these Terms with additional technical and organizational measures.
Compliance Requirement: Failure to comply with applicable data protection laws may result in suspension or termination of your Service access.
7B. International Service Availability
Our Service is available to churches and religious organizations worldwide. By using our Service from outside the United States, you acknowledge that your data may be transferred to and processed in the United States and other countries where we operate our infrastructure.
Compliance Commitment: We are committed to complying with applicable international data protection laws, including GDPR for European users and other regional privacy regulations where our Service is used.
International User Rights: We acknowledge that users outside the European Economic Area (EEA) may have privacy rights under their local data protection laws. If you are located outside the EEA and believe you have privacy rights under your local laws that are not addressed in our Privacy Policy, please contact us at hello@confidecloud.com with "International Privacy Rights Inquiry" in the subject line. We will review your inquiry and work with you to address your rights under applicable local laws.
Local Law Compliance: You are responsible for ensuring that your use of our Service complies with all applicable local laws and regulations in your jurisdiction.
7C. Legal Compliance and User Rights
We comply with applicable federal and state privacy laws, including the California Consumer Privacy Act (CCPA), the Virginia Consumer Data Protection Act (VCDPA), and other relevant state privacy regulations. We do not discriminate against users for exercising any of their rights under these laws. For more information about the data rights available to you and how to exercise them, please review our Privacy Policy.
No Sale of Data: We do not sell personal information to third parties. Our business model is based on subscription fees, not data monetization.
User Rights Requests: You may exercise your privacy rights by contacting us at hello@confidecloud.com. We will respond within the timeframes required by applicable law.
7D. Data Access and Export Features
Our Service includes built-in data access and export features that allow you to retrieve your data at any time during your subscription. You can access and export your data through your account dashboard or by contacting our support team.
Available Export Formats: We provide data exports in commonly used formats including CSV, JSON, and PDF to ensure compatibility with other systems and easy data migration.
Account Management: You can update and correct your account information directly through the Service interface. For assistance with data corrections or account management, contact our support team.
Data Requests: For specific data access requests or questions about your data, contact us at hello@confidecloud.com. We will respond promptly and provide the requested information in accordance with applicable laws. We may charge a reasonable fee for repeated or excessive export requests.
7E. Legal Disclosure and Service Cooperation
We strive to minimize data disclosure. However, we may disclose user information when required by law, including in response to valid legal process such as warrants, subpoenas, or court orders. We review all such requests to ensure they are legally valid and will notify affected users when legally permissible.
Church Data Controller Notification: For church member data, we will notify the church organization (as data controller) of any legal requests affecting their member data, unless prohibited by law.
Service Cooperation: We cooperate with law enforcement and regulatory authorities in accordance with applicable laws while protecting user privacy to the fullest extent possible.
8. Subscription Services
Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set on a monthly or yearly basis, depending on the type of subscription plan you select when purchasing a Subscription.
At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Kingdom Digital Media, LLC cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting Kingdom Digital Media, LLC customer support team.
A valid payment method, including credit card or PayPal, is required to process the payment for your Subscription. You shall provide Kingdom Digital Media, LLC with accurate and complete billing information including full name, address, state, zip code, telephone number, and valid payment method information.
9. Free Trial
Kingdom Digital Media, LLC may, at its sole discretion, offer a Subscription with a free trial for a limited period of time ("Free Trial"). Free Trials are available only once per user or organization unless otherwise approved in writing by Kingdom Digital Media, LLC.
You may be required to enter your billing information in order to sign up for the Free Trial. If you do enter your billing information when signing up for the Free Trial, you will not be charged by Kingdom Digital Media, LLC until the Free Trial has expired. At the conclusion of the Free Trial period, you will be automatically charged the applicable Subscription fees unless you cancel your Subscription as described above.
At any time and without notice, Kingdom Digital Media, LLC reserves the right to (i) modify the terms and conditions of the Free Trial offer, or (ii) cancel such Free Trial offer.
10. Fee Changes
Kingdom Digital Media, LLC, in its sole discretion and at any time, may modify the Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.
Kingdom Digital Media, LLC will provide you with a (30) day advance notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.
Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.
11. Refunds
We want you to be happy with our service. If you were just charged for your next month of service but you meant to cancel, we're happy to refund that extra charge.
If you tried one of our products for a couple months and you just weren't happy with it, you can have your money back. Simply contact us at hello@confidecloud.com to request a refund, and we'll work with you to make it right. Refunds are issued at our discretion and may be subject to a service usage review.
12. Intellectual Property Rights
The Service and all original content, features, functionality, design elements, and underlying technology are and will remain the exclusive property of Kingdom Digital Media, LLC and its licensors. The Service is protected by U.S. and international copyright, trademark, trade dress, and other intellectual property laws.
Nothing in these Terms grants you any rights, title, or interest in or to our intellectual property. You are granted only a limited, non-exclusive, non-transferable, and revocable license to use the Service solely in accordance with these Terms.
Use of Branding: You may not use our trademarks, logos, trade names, trade dress, or any other brand elements—including those displayed on the Service or in related materials—without our prior written consent. This includes all use in marketing, websites, social media, or other communications, regardless of intent or format.
Third-Party Marks: Third-party trademarks, service marks, logos, or brand names appearing through the Service are the property of their respective owners. Use of these third-party marks may be subject to separate terms and permissions, and you may not use them without authorization.
Whitelabeling and Custom Branding: If the Service provides the ability to customize branding or present a white-labeled experience, you represent that you have the legal right to use any logos, marks, or brand elements you submit. You may not use content, imagery, or design elements you do not own or are not authorized to use.
13. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, at our sole discretion, for violation of these Terms.
If you wish to terminate your account, you may do so at any time by canceling your subscription through your account settings or discontinuing use of the Service.
Upon termination, your right to use the Service will cease immediately. However, unless terminated for cause, you will retain access through the end of your currently paid billing period. Terminations do not entitle you to a refund of any prepaid fees.
Data Export Upon Termination: If we terminate your Service, we will make your data available for export in standard formats (e.g., CSV, JSON, PDF) for a period of thirty (30) days following notice of termination. You are solely responsible for completing the data export within this time. After the 30-day period, all data associated with your account—including church member information and organizational records—will be permanently deleted or securely anonymized, and we will have no obligation to retain, provide access to, or recover such data.
All data destruction is performed using industry-standard security practices, including secure deletion and encryption techniques to protect sensitive information.
Limitation of Liability: We are not liable for any loss of access, data, or functionality following termination of your account, unless otherwise required by law. It is your responsibility to back up your data prior to termination.
Ongoing Data Access: While your subscription is active, you may request data exports at any time through your account settings or by contacting our support team. Reasonable export requests will be fulfilled at no additional charge.
All provisions of these Terms which by their nature should survive termination shall continue to apply, including but not limited to provisions on ownership, indemnity, warranty disclaimers, and limitations of liability.
14. Service Security and Incident Response
We implement industry-standard security measures to protect our Service and your data, including encryption, access controls, regular security assessments, and monitoring systems. However, no internet-based service can guarantee 100% security.
Security Incident Response: In the event of a security incident affecting your data, we will notify affected users without undue delay in compliance with applicable law. We maintain incident response procedures and will cooperate with you to address any security concerns.
User Security Responsibilities: You are responsible for maintaining the security of your account credentials and promptly notifying us of any unauthorized access to your account.
15. Disclaimer of Warranties
Except as expressly stated in a separate Service Level Agreement (SLA) or other written commitments from us, the Service and all content provided through it are made available “as is.” To the fullest extent permitted by law, Kingdom Digital Media, LLC disclaims all implied warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
We do not make any guarantees, express or implied, regarding the accuracy, reliability, or suitability of the content made available through the Service. Your use of the Service is at your own discretion and risk.
Support and Service Commitments: We actively maintain and support the Service through regular development cycles, feature updates, security improvements, and customer support. Details regarding uptime, response times, and service guarantees are provided separately in our Service Level Agreement or communicated to you directly based on your subscription plan.
16. Indemnification
Our Indemnification to You
Kingdom Digital Media, LLC will defend, indemnify, and hold harmless you and your organization from and against any third-party claims, damages, losses, and expenses (including reasonable attorney's fees) arising from: (a) our material breach of these Terms; (b) our infringement of third-party intellectual property rights; (c) our violation of applicable laws in providing the Service; or (d) any defects, errors, or malfunctions in the Service that cause harm to third parties.
Limitations and Procedures
Each party's total indemnification obligations under this section shall not exceed the amount paid under these Terms in the twelve (12) months preceding the claim. The indemnifying party will provide prompt written notice of any claim, assume control of the defense, and cooperate reasonably with the other party.
17. Limitation of Liability
In no event shall Kingdom Digital Media, LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.
In no event shall Kingdom Digital Media, LLC's total liability to you for all damages, losses, and causes of action exceed the amount you have paid Kingdom Digital Media, LLC in the last six (6) months, or, if greater, one hundred dollars ($100).
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles. You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Service shall be brought exclusively in the state or federal courts located in Lee County, Florida, and you hereby irrevocably consent to the personal jurisdiction and venue of those courts. Our failure to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.
19. Dispute Resolution
If you have any concern or dispute about the Service, you agree to first try to resolve it informally by contacting us at hello@confidecloud.com.
Arbitration: Arbitration shall be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, or by another arbitrator organization mutually agreed upon by the parties. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service may be resolved through binding arbitration, conducted confidentially and on an individual basis. You may opt out of this arbitration provision by sending written notice to hello@confidecloud.com within (90) days of first accepting these Terms. Either party may seek emergency injunctive relief in court to prevent irreparable harm pending arbitration. Notwithstanding this arbitration provision, either party may bring claims in small claims court if the claim falls within that court's jurisdiction. You expressly waive any right to participate in a class action lawsuit or class-wide arbitration, except where such waiver is prohibited by applicable law.
20. Severability and Waiver
Severability: If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
Waiver: Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not effect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.
21. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.
We will notify users of any material changes by posting the updated Terms on this page, updating the "Last Updated" date, and sending email notifications to all registered users. "Material" changes may include, but are not limited to, updates to user rights, subscription or payment terms, or our data processing practices. Routine updates to our policies, clarifications, or minor edits that do not significantly affect your rights or obligations may not be considered material.
By continuing to access or use our Service after the revised Terms become effective, you agree to be bound by them. If you do not agree to the new terms, you must stop using the Service.
22. Entire Agreement
These Terms constitute the entire agreement between you and Kingdom Digital Media, LLC regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.
